Practice
Doing business in Spain
Setting up in Spain is a fortnight of paperwork if it is done in the right order, and six months of correspondence if it is not. This is the practical side: the company, the contracts, the people, and what happens when something goes wrong.
What we handle
- Incorporating a Spanish company — the sociedad limitada from name reservation to registry entry, including the tax identification a foreign shareholder or director needs first.
- Branch or subsidiary — which one your operation actually needs, and what each one costs to keep running.
- Commercial contracts — supply, services, distribution and agency. Spanish agency law gives agents a compensation right on termination that surprises most foreign principals; it is worth knowing before you sign.
- Employment — hiring, the applicable collective agreement, contractor-versus-employee risk, and what dismissal really costs.
- Shareholder disputes and deadlock — a 50/50 company that has stopped working, minority rights, and exit routes.
- Debt recovery — payment claims against Spanish counterparties, including enforcement of foreign judgments and awards.
What a foreign founder usually gets wrong
Three things, repeatedly. Appointing a non-resident sole director without arranging Spanish tax representation. Signing a distribution agreement that Spanish courts will read as an agency agreement. And assuming a services contractor is not an employee because the contract says so — in Spain the facts decide, not the label.
How we price it
| Engagement | Scope | Fee |
|---|---|---|
| Scoping call | What you need in place before you can trade, and in what order | No charge |
| Market entry note | Written route map: entity, tax registrations, licences, employment set-up, timeline | From €900 |
| Company formation | Incorporation of an SL end to end, including bylaws and registry entry | From €1,500 |
| Contract drafting | Distribution, agency, supply or services agreement drafted for Spanish law | From €1,200 |
| Dispute or recovery | Assessment and demand stage; litigation quoted separately once scoped | From €1,500 |
Fees exclude VAT and third-party costs (notary, registry, court fees, procurador, translation). Indicative only, and no outcome is promised.
